2. Purpose and Contract Status
This Policy states our standard approach to confidentiality and ownership. A separately signed NDA, proposal, SOW or development agreement may add project-specific terms and will prevail where it expressly conflicts.
This webpage is not, by itself, a substitute for signing an NDA where either party requires contractual confidentiality before sharing sensitive information.
3. Confidential Information
Confidential Information includes non-public business plans, pricing, customer or employee information, credentials, databases, technical architecture, source code, designs, product roadmaps, trade secrets, financial information, security information, project communications and materials marked or reasonably understood as confidential.
Confidential Information may be disclosed orally, visually, electronically or in writing.
4. Mutual Confidentiality Duties
Each receiving party will:
- use Confidential Information only for evaluating, delivering, receiving or supporting the agreed services;
- limit access to personnel, contractors and advisers with a genuine need to know;
- apply at least reasonable care and no less care than used for its own similar information;
- not sell, publish or disclose it without authority; and
- promptly notify the disclosing party of a known material unauthorised disclosure.
5. Information Not Treated as Confidential
Confidentiality obligations do not cover information the receiving party can demonstrate: was lawfully known without restriction; becomes public without breach; is independently developed without using the confidential material; is lawfully received from another source without duty; or is approved for release in writing.
6. Required and Permitted Disclosure
Disclosure may be made to personnel, approved subcontractors, hosting or professional advisers who need access and are subject to suitable duties. A party may disclose information where required by law, court or competent authority. Where legally permitted, it should give prompt notice and disclose only what is required.
7. Credentials, Data and Security
Credentials should be shared through reasonably secure methods and limited to necessary access. Both parties must protect accounts, use appropriate access controls and revoke access when no longer needed. No system is risk-free; specific security certifications or controls apply only if included in the signed scope.
Personal data will also be handled under the Privacy Policy and any applicable data-processing agreement.
8. Ownership of Custom Code and Deliverables
Upon receipt of full and final payment for the relevant project, Webapps will assign to the Client, to the extent legally transferable, its rights in original custom source code, original designs, custom database structures, custom documentation and other bespoke deliverables created solely for the Client and identified in the accepted scope (“Custom Deliverables”).
The assignment will be recorded in the signed proposal, development agreement, SOW or a separate signed handover/assignment document. That document must identify the relevant work and assigned rights and specify the territory, duration and consideration as required by applicable law. Unless the signed assignment states otherwise, the intended commercial arrangement is worldwide ownership for the full legally permitted copyright term after full payment.
Until full payment and execution of any required written assignment, ownership remains with Webapps and the Client may use previews or staging builds only for review and testing. Full ownership does not transfer merely because code has been shared in a repository.
Where further documents or acts are reasonably necessary to complete the agreed assignment, both parties will cooperate. Registration, notarisation, stamp duty or exceptional legal costs requested by the Client may be separately chargeable.
9. Webapps Background Materials and Reusable Know-How
Webapps retains ownership of tools, libraries, frameworks, utilities, templates, generic modules, deployment scripts, development methods, know-how and code developed before the project or designed for general reuse (“Background Materials”).
If Background Materials are embedded in fully paid Custom Deliverables, the Client receives a perpetual, worldwide, non-exclusive, royalty-free licence to use, copy, modify and distribute those embedded elements as necessary to use and maintain the Custom Deliverables. Webapps may continue using its Background Materials and general know-how for other clients, without using the Client’s Confidential Information.
10. Open-Source and Third-Party Components
Open-source software, fonts, APIs, platforms, stock assets, SDKs and other third-party components remain owned by their respective owners and are governed by their licences. They cannot be assigned by Webapps as exclusive Client property.
We will use reasonable efforts to identify material third-party dependencies in the project documentation or repository. The Client agrees to comply with applicable licences and ongoing provider charges.
11. Development Transparency and Repository Access
Where included in the proposal, the Client will receive reasonable visibility into progress through demonstrations, status updates, issue tracking or repository access. Repository access may be read-only or role-limited during development to protect branch integrity, credentials and deployment systems.
We will not intentionally lock a fully paid Client into Webapps by withholding agreed Custom Deliverables. Transparency does not require disclosure of another client’s information, internal security credentials or unrelated proprietary tools.
12. Final Handover
After full payment and acceptance, handover may include the agreed source-code repository or export, build/deployment instructions, agreed documentation, database schema, design-source files and Client-owned credentials. Items are included only to the extent stated in scope or reasonably necessary to operate the agreed deliverable.
Webapps may keep an archival copy for legal records, warranty support and dispute resolution, subject to confidentiality and retention duties. Ongoing hosting, maintenance, updates and support require a separate agreement unless expressly included.
13. Client Materials and Warranties
The Client retains ownership of materials, trademarks, data and content it provides. The Client grants Webapps a limited licence to use them only for the project and warrants it has the rights and permissions needed. The Client is responsible for infringement or unlawfulness in materials or instructions it supplies.
14. Publicity and Portfolio Use
We will not disclose Confidential Information. We will use the Client’s name, logo, screenshots or project details in publicity only where the proposal permits or the Client separately approves. Permission may be subject to agreed timing, such as after public launch.
15. Duration, Return and Destruction
Confidentiality duties ordinarily continue for three years after disclosure or project termination, while trade-secret obligations continue for as long as the information remains a trade secret under applicable law, unless a signed NDA states otherwise.
On valid request or termination, each party will return or securely delete Confidential Information where reasonably practicable, except for legal records, secure backups and copies required to establish rights. Retained copies remain protected.
16. Breach and Remedies
Unauthorised use or disclosure may cause harm not fully compensated by money. Subject to applicable law, the affected party may seek injunctive relief, damages or other available remedies. Each party must take reasonable steps to mitigate loss.
17. Governing Law and Disputes
Indian law governs this Policy. The parties should first attempt good-faith resolution. Unless a signed agreement contains a different dispute clause, and subject to mandatory forums, competent courts in Kolkata, West Bengal will have jurisdiction.
